1. Acceptance of Terms

By submitting an application and participating in the Sludge UGC platform (operated by FANSPY LLC), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Engagement Authenticity

You agree not to use bots, fake engagement, or any artificial means to inflate metrics including but not limited to views, likes, comments, or followers. Any violation of this policy will result in immediate termination from the platform and forfeiture of all unpaid earnings.

3. Posting Requirements

Each campaign has a minimum required post count that must be met to receive the full base rate payment. Key points:

• Base monthly rate is prorated based on the percentage of required posts completed
• Example: Completing 15 out of 20 required posts = 75% of base rate
• View bonuses are calculated separately and paid based on actual views generated
• All posts must be approved by our review team to count toward your requirements

4. Content Compliance

All content you submit must:

• Comply with campaign guidelines and brand requirements
• Be authentic and truthful in all claims and representations
• Not contain any prohibited content (hate speech, violence, illegal activities, etc.)
• Follow all applicable laws and platform guidelines (Instagram, TikTok)
• Include required disclosures and hashtags as specified in campaign briefs

Non-compliant content will be rejected and will not count toward your post requirements or view bonuses.

5. Commercial License Grant

By submitting content for any campaign, you grant FANSPY LLC (operating as Sludge UGC) and the associated brand a perpetual, worldwide, royalty-free, non-exclusive license to:

• Use, reproduce, modify, and distribute your submitted videos and content
• Display your content for marketing, advertising, and promotional purposes
• Sublicense your content to third parties
• Create derivative works based on your content

You retain ownership of your content but acknowledge that the brands may use your content beyond the platform where it was originally posted.

6. Payment Terms

Payment structure and schedule:

• Payments are processed monthly via PayPal on the last business day of each month
• Payments cover the previous month's approved content and views
• You must maintain a valid PayPal email address
• Minimum payout threshold: $10 (balances below this carry over to next month)
• You are responsible for any applicable taxes on your earnings
• Payment disputes must be raised within 30 days of the payout date

7. Independent Contractor Status

You are an independent contractor, not an employee. You are responsible for your own taxes, insurance, and compliance with local laws. No employment relationship is created by these Terms of Service.

8. Account Termination

Either party may terminate participation at any time:

• You may leave the platform at any time by providing written notice
• We may terminate your account for violations of these terms
• Outstanding earned amounts will be paid in the next payout cycle
• Unpaid earnings may be forfeited if termination is due to terms violations
• Campaign assignments may be revoked at any time at the brand's discretion

9. Confidentiality

You agree to keep confidential any non-public information about campaigns, brands, payment structures, and other creators. You may not share campaign briefs, brand guidelines, or payment details publicly.

10. Limitation of Liability

FANSPY LLC (operating as Sludge UGC) is not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability is limited to the amount of payments owed to you.

11. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of the platform after changes constitutes acceptance of the new terms. Material changes will be communicated via email.

12. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

13. Dispute Resolution

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.
